Applies to Qualifying Orders placed on or after November 1, 2025.

1. GENERAL

• 1.1 These General Terms and Conditions (the “Terms”) govern the participation of the individual (“Customer” or “you”) identified on the Order Form (as defined below) in the Greiche & Scaff GS+™ membership program offered by Greiche & Scaff® (“Greiche & Scaff”).
  
• 1.2 These Terms are supplemented by the program benefits and definitions in Schedule A and by the applicable order form(s) or invoice(s) (each, an “Order Form”) issued to you (collectively, the “Agreement”). In the event of a conflict: (a) the Order Form controls the commercial details specific to that transaction; and (b) these Terms control all other matters, except where the Order Form expressly states otherwise. 
  
• 1.3 To the fullest extent permitted by applicable law, these Terms apply in addition to, and do not limit, your non-waivable statutory rights as a consumer.
  

2. DEFINITIONS

• 2.1 For the purpose hereof and in addition to the capitalized terms defined elsewhere in these Terms, Schedule A contains a glossary of certain defined terms used herein.
  

3. TERM, FEES, EARLY TERMINATION

• 3.1 Effective Date. These Terms come into effect for all Products included in your Order Form commencing on the date indicated on the Order Form (the “Order Date”), being, initially, the date you place your first order under the GS+™ membership program.
  
• 3.2 Initial Term; Program Term. The term of the GS+™ membership program (the “Program Term”) is the period beginning on the Order Date and ending upon the earlier of: (a) your early termination in accordance with Sections 3.6 or 3.7 , and (b) the expiry of the Initial Term.
  
• 3.3 Monthly Fees. The total monthly fee for the Products in your order (the “Monthly Fee”), as well as the payment schedule for the payment of such Monthly Fee, is set out in your Order Form. You agree to pay the Monthly Fee for all Products for the duration of the applicable Program Term. All prices exclude taxes, if applicable, which are charged in addition to the Monthly Fee. 
  
• 3.4 Financing. You acknowledge that your eligibility to participate in the GS+™ membership program is subject to receiving financing approval with Affirm Canada Holdings Ltd. (“Affirm”), doing business as Affirm. Your Monthly Fees are financed by Affirm and any payment terms are governed by a separate agreement between you and Affirm (the “Affirm Contract”). Greiche & Scaff is not a party to the Affirm Contract.
  
• 3.5 Changes to Order. If your order changes during the Program Term, a revised Order Form will be issued to you. This revised Order Form will supersede any previous Order Forms issued to you in connection with the same initial order. Changes to an order may be subject to approval by Affirm. Adjusted Monthly Fees take effect on the next billing cycle unless stated otherwise in the revised Order Form. 
  
• 3.6 Early Termination During the Program Term. In addition to the termination right in Section 3.7, if you wish to terminate the Agreement in accordance with Section 3.8 during the Program Term you must pay the applicable Redemption Amount for all Products in your order and, following such payment, shall be entitled to keep such Products. 
  
• 3.7 Termination Following the Minimum Commitment Period but before the Initial Term. In addition to the termination right in Section 3.6, during the one (1) month period following the expiry of the Minimum Commitment Period, and prior to making your twenty-fifth (25th) payment of Monthly Fees, you may terminate the Agreement in accordance with Section 3.8 by returning all Products in your order and placing a new Qualifying Order, with a new Minimum Commitment Period and Initial Term.  
  
• 3.8 How to Terminate. You may terminate this Agreement in person at any Greiche & Scaff location. Termination is effective upon compliance with Section 3.6 or 3.7, as applicable.
  
• 3.9 Effect of Termination. Upon termination, all benefits offered pursuant to this Agreement immediately cease, except as expressly stated to survive or as required by applicable law.
  
• 3.10 Acknowledgment. You acknowledge that the total monthly fee payable under the GS+™ membership program may be greater than the amount otherwise payable for the same products without the membership benefits.
  

4. CANCELLATIONS AND EXCHANGES

• 4.1 Cancellation and Exchange Policy. Cancellations and exchanges of Products are governed by the Cancellation and Exchange Policy in Schedule A.
  
• 4.2 Qualifying Order. If an exchange in accordance with the Cancellation and Exchange Policy would cause your order to cease being a Qualifying Order, such exchange shall be treated as a cancellation pursuant to the Cancellation and Exchange Policy, in which case Section 3.6 shall apply.
  
• 4.3 Condition of Returned Products. Greiche & Scaff reserves the right to not accept Products for exchange if such Products are not  in their original condition. 
  
• 4.4 Statutory Rights. These Terms do not limit your non-waivable statutory rights.
  

5. WARRANTY 

• 5.1  Warranty. Products listed on your Order Form are covered by the Warranty in Schedule A. If you purchased an additional protection plan, that plan governs to the extent of any conflict.
  
• 5.2 Care and Use. You agree to use Products in accordance with care instructions provided by Greiche & Scaff or the manufacturer and not to misuse or alter Products in a manner that voids the Warranty or applicable benefits.
  

6. LENS REPLACEMENT POLICY

• 6.1 Change of Prescription. If, during the Program Term, an eye examination conducted by an optometrist confirms a change to your prescription, you may seek to replace the lenses in one or more Products from a Qualifying Order in accordance with the Lens Replacement Benefit detailed in Schedule A, subject to Section 6.2. 
  
• 6.2 Eligibility. To be eligible for the Lens Replacement Benefit, the Product must be in a suitable condition to allow for a lens replacement. If you select lenses from a more expensive price group, fees may apply. If you select lenses from a less expensive price group, your Monthly Fee will not be reduced and the revised Order Form will indicate the same Monthly Fee as the previous Order Form. 
  

7. MAINTENANCE

• 7.1 Maintenance Services. During the Program Term, you may bring your Product(s) to any Greiche & Scaff location for complimentary adjustments, cleaning, and replacement of wear parts. Maintenance does not include extensive repairs or replacements except as provided under the Warranty. 
  

8. ADDITIONAL BENEFITS

• 8.1 Additional Benefits. In addition to the benefits described in this Agreement, you are entitled to the Additional Benefits described in Schedule A.
  

9. PROCESSING OF PERSONAL DATA

• 9.1 Privacy. Greiche & Scaff processes personal information in accordance with its privacy policy available at https://www.greiche-scaff.com/policies/privacy-policy. By placing a Qualifying Order, you consent to Greiche & Scaff collecting, using, disclosing and retaining your personal information for the purposes of administering your order, providing the services and benefits hereunder, and as required or permitted by law and/or as disclosed pursuant to the privacy policy.
  
• 9.2 Disclosure to Third Parties. You authorize Greiche & Scaff to disclose your personal information to its affiliates for the purposes of administering your order, providing the services and benefits hereunder, fraud prevention and as required or permitted by law or by Greiche & Scaff’s privacy policy. Your financing is governed by your Affirm Contract and is subject to any privacy terms contained therein and not Greiche & Scaff’s privacy policy.
  

10. AMENDMENT, ASSIGNMENT, SUBCONTRACTING

• 10.1 Amendments. Greiche & Scaff may amend these Terms at any time, provided that such amendments will not affect an existing Order Form or affect any existing rights you have under the previous set of Terms, unless you agree or unless required by law. The version of the Terms appended to your Order Form applies to that order. 
  
• 10.2 Assignment and Subcontracting. Greiche & Scaff may assign these Terms in whole or in part to an affiliate or in connection with a sale of all or substantially all of its business. Greiche & Scaff may subcontract obligations hereunder to its affiliates or third parties, provided Greiche & Scaff remains responsible for the performance of such subcontractors. You may not assign your rights or obligations without Greiche & Scaff’s prior written consent.
  

11. SUSPENSION, FRAUD, AND MISUSE

• 11.1 Suspension for Non-Payment or Misuse. Greiche & Scaff may suspend benefits if you fail to pay when due, commit fraud, or misuse the GS+™ membership program benefits, upon notice and, where applicable, a reasonable opportunity to cure.
  
• 11.2 Fraudulent Activity. Greiche & Scaff may terminate this Agreement for fraud or material misrepresentation, without limiting other remedies available at law.
  

12. MISCELLANEOUS

• 12.1 Force Majeure. Greiche & Scaff is not liable for delays or failure to perform due to events beyond its reasonable control, including acts of God, labor disputes, pandemics, or governmental actions, for the duration of the impediment.
  
• 12.2 Liability. To the fullest extent permitted by applicable law, Greiche & Scaff’s liability for direct damages arising from these Terms is limited to the total Monthly Fees paid by you under the applicable Order Form during the twelve (12) months preceding the event giving rise to liability. The foregoing does not limit liability for death or personal injury caused by negligence, fraud, wilful misconduct, or other liability that cannot be excluded or limited under applicable law. Nothing in these Terms limits your non-waivable statutory rights.
  
• 12.3 Claims. Any claim must be brought within twelve (12) months after you became aware, or should reasonably have become aware, of the facts giving rise to the claim.
  
• 12.4 Entire Agreement. These Terms, the Order Form(s), and Schedule A constitute the entire agreement regarding your participation in the GS+™ membership program and supersede prior understandings on the same subject matter.
  
• 12.5 Severability; Waiver. If any provision under this Agreement is invalid or unenforceable, it will be deemed modified to the minimum extent necessary to be valid and the remaining provisions hereunder shall remain effective. No failure by Greiche & Scaff to enforce its rights under this Agreement constitutes a waiver of such rights.
  
• 12.6 Interpretation. Headings are for convenience only and do not affect interpretation.
  
• 12.7 Greiche & Staff Group. The GS+™ membership program is operated by Greiche & Scaff, a division of New Look Vision Group Inc. / Groupe Vision New Look Inc., having its registered office at 4405 Chemin du Bois-Franc, Saint-Laurent, QC H4S 1A8, Canada. Any services which are required to be performed, or any products which are required to be delivered, by an optician, will be completed by LNLC Inc. or by an optician that is employed by LNLC Inc.

13. GOVERNING LAW AND DISPUTE RESOLUTION

• 13.1 Governing Law. These Terms are governed by the laws of the province in which your Order Form is issued to you and the federal laws of Canada applicable therein. 
  
• 13.2 Dispute Resolution. The parties will use good faith efforts to resolve disputes.
  
• 13.3 Acknowledgment. You acknowledge having received a copy of these Terms, which govern your participation in the GS+™ membership program, and you acknowledge having had a reasonable opportunity to review them and ask any questions regarding their contents.
  

14. LANGUAGE

• 14.1 Language. If you are in Quebec, you acknowledge having been offered the French version of these Terms and that the parties have requested that this agreement and all related documents be drafted in English. Si vous êtes au Québec, vous reconnaissez avoir eu la possibilité de consulter la version française des présentes conditions. Les parties ont exigé que cette convention ainsi que tous les documents s’y rattachant soient rédigés en anglais. 
  

Schedule A

Glossary of Defined Terms and Additional Details – GS+™ Membership Program 

Defined Term	Meaning
“Additional Benefits”	Category discounts: 30% off sunglasses; 30% off contact lenses.
“Affirm”	As defined in Section 3.4
“Affirm Contract”	As defined in Section 3.4
“Agreement”	As defined in Section 1.2
“Cancellation and Exchange Policy”	Cancellation of an Order Form: Within ten (10) days of your Order Date. Exchange of a Product: Within thirty (30) days of the date you collect the Product. Each Product may only be exchanged once in connection with this Cancellation and Exchange Policy
“Customer” or “you”	As defined in Section 1.1
“Greiche & Scaff”	As defined in Section 1.1
“Initial Term”	Thirty-six (36) months, commencing on the Order Date.
“Lens Replacement Benefit”	One complimentary lens replacement per Product during the first twelve (12) months of the Program Term in the event of a prescription change, subject to Section 6 of the Terms. Thereafter, each lens replacement shall be at a cost equal to three (3) months of Monthly Fees, subject to Section 6 of the Terms.
“Minimum Commitment Period”	Twenty-four (24) months, commencing on the Order Date.
“Monthly Fee”	As defined in Section 3.3
“Order Date”	As defined in Section 3.1
“Order Form”	As defined in Section 1.2
“Product”	A complete pair of prescription eyeglasses or sunglasses, including frame and lenses.
“Program Term”	As defined in Section 3.2.
“Qualifying Order”	Minimum of two (2) Products. A “2-for-1” or “2nd pair for $1” purchase will be considered as one Product.
“Redemption Amount”	Per Product, an amount equal to the total Monthly Fees remaining as of the redemption date in the Minimum Commitment Period, plus an amount equal to the Monthly Fees remaining following the Minimum Commitment Period divided by two (2).
“Terms”	As defined in Section 1.1.
“Warranty”	Two (2) years of coverage under the Extended Replacement Warranty plan offered by Greiche & Scaff.
